1. Acceptance of Terms

By accessing or using our Site or services, you agree to these Terms and any policies referenced here (Privacy Policy and SMS Terms). If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old and able to form a binding contract.

3. Services

We provide SEO, web design, and related digital marketing services (the “Services”). Scope, deliverables, and timelines are defined in proposals/SOWs or order forms.

4. Accounts & Security

You’re responsible for safeguarding any credentials. Notify us immediately of unauthorized use.

5. Client Obligations

You will supply timely access, approvals, content, credentials, and third-party platform permissions. Delays may move timelines and incur change orders.

6. Fees, Billing & Taxes

Fees are as quoted. Unless otherwise stated, invoices are due upon receipt. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law. Client is responsible for applicable taxes.

7. Refunds & Cancellation

Unless your agreement states otherwise, fees are non-refundable once work begins. Ongoing plans may be cancelled with {{30}} days’ written notice; work performed through the termination date remains billable.

8. Intellectual Property

• Client Materials. You retain rights to your pre-existing content and grant us a license to use it solely to perform the Services.
• Agency Materials. Our pre-existing tools, frameworks, and know-how remain ours.
• Deliverables. Upon full payment, you receive a non-exclusive license to use deliverables for your business. Stock assets remain subject to their original licenses.

9. Acceptable Use

No unlawful, harmful, or infringing content; no attempts to breach security; no spam or abusive behavior.

10. Third-Party Platforms & Tools

We may use third-party services (e.g., analytics, hosting, ad platforms). Your use is subject to their terms and policies. We are not responsible for third-party outages or changes.

11. Confidentiality

Each party will protect the other’s non-public information and use it only for fulfilling the Services.

12. Disclaimers

SEO and marketing results vary. We do not guarantee specific rankings, traffic, conversions, or revenue. The Site and Services are provided “as is” to the fullest extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims relating to the Services or these Terms is limited to the fees you paid us in the 3 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

14. Indemnification

You will defend and indemnify us against claims arising from (a) your content or instructions; (b) your breach of these Terms; or (c) your violation of law or third-party rights.

15. Term; Termination

We may suspend or terminate access for violations or legal/risk reasons. Sections intended to survive (e.g., IP, confidentiality, disclaimers, limitations) survive termination.

16. Changes to Terms

We may update these Terms from time to time. We’ll post the “Effective Date” above. Continued use means acceptance.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules. Venue and jurisdiction lie in state or federal courts located in Hennepin County, Minnesota.
